These Terms of Service ("Terms") govern your access to and use of LionReply's website, platform, and services (the "Services") provided by Lionhall Ventures LLC d/b/a LionReply ("LionReply," "we," "us," or "our"). By using the Services, you agree to these Terms.

5. Customer Data

You retain all rights to data you upload or generate through the Services ("Customer Data"). You grant LionReply a limited license to host, process, and transmit Customer Data solely as necessary to provide the Services.

6. Third-Party Services

The Services may integrate with third-party platforms (e.g., calendars, CRMs, messaging carriers). Your use of those services is governed by their own terms, and we are not responsible for their availability or actions.

7. Intellectual Property

The Services, including all software, designs, and trademarks, are owned by LionReply or its licensors. No rights are granted except those expressly stated in these Terms.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LIONREPLY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO LIONREPLY IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold LionReply harmless from any claims, damages, or expenses arising from your use of the Services, your Customer Data, or your violation of these Terms or applicable law.

11. Termination

We may suspend or terminate your access to the Services for violation of these Terms or for risk of harm to LionReply, our users, or third parties. Upon termination, your right to use the Services ends immediately.

12. Governing Law

These Terms are governed by the laws of the United States and the state in which LionReply is organized, without regard to conflict-of-laws principles.

13. Changes to These Terms

We may update these Terms from time to time. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

15. SMS Messaging Program

SMS Consent. By providing your phone number and checking the SMS consent checkbox on our website at https://www.lionreply.com/contact, you agree to receive automated SMS text messages from LionReply (Lionhall Ventures LLC). Consent is not a condition of purchase. You must be 18 years of age or older to receive SMS messages.

SMS Program Description. LionReply sends transactional and promotional SMS messages. Transactional messages include appointment reminders, service notifications, follow-up communications, and customer support replies. Promotional messages include service announcements and marketing offers. Message frequency varies. Messages sent from +1 (832) 430-7333.

Opt-Out. You may opt out of receiving SMS messages at any time by replying STOP to any message. After replying STOP, you will receive a one-time confirmation and will not receive further SMS messages. To re-subscribe, reply START or visit our website.

Message and Data Rates. Message and data rates may apply per your mobile carrier plan. LionReply is not responsible for carrier charges. Message frequency varies based on your activity.

Carrier Liability. Carriers are not liable for delayed or undelivered messages. Supported carriers include AT&T, T-Mobile, Verizon Wireless, Sprint, Boost, Cricket, MetroPCS, U.S. Cellular, Virgin Mobile, and other major U.S. carriers.

Age Restriction (18+). Our SMS messaging program is intended for users who are 18 years of age or older. By opting in, you confirm that you meet this age requirement.

Privacy of SMS Opt-In Data. Mobile opt-in data and consent information will not be shared with third parties or affiliates for marketing or promotional purposes. No mobile information will be shared with third parties for their own marketing. See our Privacy Policy for complete details.
